Please read these Terms of Service (the "Terms" or "Terms of Service") carefully before accessing or using the CreatiDrop website (https://www.creatidrop.com/), the CreatiDrop platform (https://app.creatidrop.com/), and any related services (collectively, the "Service") operated by Hangzhou Jinchen Technology Co., Ltd. ("we", "us", or "our").

These Terms apply to all users of the Service, including without limitation browsers, vendors, customers, merchants, and content contributors.

By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the Service.

These Terms constitute a legally binding agreement between you and CreatiDrop. Any new features or tools added to the current Service shall also be subject to these Terms. You can review the most current version of these Terms at any time on this page.

We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our Website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.

GOVERNING LANGUAGE: If these Terms and any supplementary agreements exist in multiple language versions, in the event of any conflict or inconsistency between different language versions, the English version shall prevail.

In these Terms, the following terms have the meanings set forth below:

1. 1. "CreatiDrop", "we", "us", or "our": Refers to Hangzhou Jinchen Technology Co., Ltd., the operator of the CreatiDrop platform and Service.
2. 2. "Service": Refers to all services provided by CreatiDrop via the internet through the Website, platform, email, or other channels, including but not limited to dropshipping fulfillment (3PL), print-on-demand (POD), brand incubation, product sourcing, order fulfillment, warehousing, and logistics services.
3. 3. "User", "you", "your": Refers to any natural person, legal entity, or other organization that registers an account on the CreatiDrop Platform or uses the Service.
4. 4. "User Account" or "Account": Refers to the account legally registered by a User on the CreatiDrop Platform.
5. 5. "Partners": Refers to third parties we cooperate with to provide the Service, including but not limited to carriers (such as DHL, UPS, FedEx), payment processors (such as PayPal, Stripe, Payoneer), e-commerce platforms (such as Shopify, WooCommerce), POD suppliers, and warehousing providers.
6. 6. "Order": Refers to any fulfillment request submitted by a User through the Service.
7. 7. "End Customer": Refers to the ultimate consumer who purchases products from a User's store.
8. 8. "Content": Refers to any text, images, designs, files, or other materials submitted, uploaded, or transmitted by a User through the Service, including but not limited to product listings, custom designs for POD products, and store information.
9. 9. "POD" or "Print-on-Demand": Refers to the service where products are manufactured or printed only after an Order has been received from an End Customer.
10. 10. "Client": Refers to a User who places Orders for fulfillment to their End Customers.

Eligibility

By agreeing to these Terms, you represent and warrant that:

1. 1. You are at least the age of majority in your state, province, or country of residence (which is typically 18 years of age), or you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use the Service under your supervision .
2. 2. You possess the legal capacity to enter into a binding contract under the laws of your jurisdiction.
3. 3. You are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country.
4. 4. You are not listed on any U.S. government list of prohibited or restricted parties.

Account Registration

To access certain features of the Service, you must register for a User Account. When you fill in the information as prompted on the registration page, read and agree to these Terms, and complete the entire registration process, it means that you have fully read, understood, and accepted all the contents of these Terms.

You agree to:

1. 1. Provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate, current, and complete.
2. 2. Maintain the security and confidentiality of your Account credentials, including your username and password.
3. 3. Notify us immediately of any unauthorized use of your Account or any other breach of security.
4. 4. Be fully responsible for all activities that occur under your Account.
5. 5. Not share your Account credentials with any third party or allow multiple users to use a single Account unless expressly permitted by us.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion .

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

1. 1. In any way that violates any applicable federal, state, local, or international law or regulation.
2. 2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
3. 3. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
4. 4. To impersonate or attempt to impersonate CreatiDrop, a CreatiDrop employee, another user, or any other person or entity.
5. 5. To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm CreatiDrop or users of the Service.

Prohibited Activities

You may not:

1. 1. Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission by us.
2. 2. Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
3. 3. Interfere with or disrupt the Service or servers or networks connected to the Service.
4. 4. Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service.
5. 5. Upload or transmit any viruses, worms, Trojan horses, or any code of a destructive nature .
6. 6. Violate any of the terms of this agreement, which will result in immediate termination of your Services.

Placing Orders

If you wish to place an Order through the Service, you may be asked to supply certain information relevant to your Order, including without limitation:

1. 1. Product details (SKU, quantity, specifications);
2. 2. End Customer shipping information (name, address, phone number);
3. 3. Customization details (for POD orders, including design files, text, colors, sizes);
4. 4. Any special instructions or requirements.

You represent and warrant that:

1. 1. You have the legal right to sell the products you are ordering or to use any designs or content you submit for POD products;
2. 2. The information you supply to us is true, correct, and complete;
3. 3. You have obtained all necessary rights, licenses, and consents to use any content you submit.

Order Processing and Fulfillment

1. 1. Upon submission of an Order, we will process and fulfill the Order in accordance with the specifications provided.
2. 2. We may employ the use of Partners for the purpose of facilitating payment and the completion of Orders.
3. 3. By submitting your Order and information, you grant us the right to provide the information to these Partners as necessary for fulfillment, as detailed in our Privacy Policy.
4. 4. We reserve the right to refuse or cancel your Order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your Order, suspected fraud or unauthorized transaction, or other reasons.

Order Responsibility

1. 1. You are solely responsible for the accuracy of all Order information you submit.
2. 2. You are responsible for ensuring that the products you order comply with all applicable laws, regulations, and safety standards in the destination country.
3. 3. You are responsible for providing accurate and complete shipping information for your End Customers. We are not liable for delays or failures caused by incorrect shipping information.
4. 4. You acknowledge that we act as a fulfillment service provider and that the products are sourced from third-party Partners . We do not manufacture the products and make no warranties regarding product quality, fitness for a particular purpose, or compliance with any regulations, except as expressly set forth in these Terms.

No SaaS Subscription Fees

CreatiDrop does not charge any subscription fees for access to or use of the SaaS user platform. The Service is provided to Users free of charge. Fees are only applicable to Orders placed through the Service, as described in Section 5.2 below.

Pricing and Payment for Orders

1. 1. When you place an Order through CreatiDrop, you will be charged for the cost of the product and any applicable shipping and handling fees.
2. 2. All prices for products and services are subject to change without notice . Prices for our products are displayed in the currency specified on the Website at the time of Order.
3. 3. You agree to pay all charges incurred by users of your Account at the prices in effect when such charges are incurred.
4. 4. You shall provide us with accurate and complete billing information, including full name, address, state, zip code, telephone number, and a valid payment method information.
5. 5. By submitting such payment information, you authorize CreatiDrop to charge all fees incurred through your Account to any such payment instruments.
6. 6. The Service may employ the use of third-party payment processors (such as PayPal, Stripe, Payoneer) for the purpose of facilitating payment and the completion of Orders. These third-party services are subject to their own terms and conditions and privacy policies.
7. 7. You agree to promptly update your Account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

Taxes and Duties

1. 1. You are responsible for all taxes, customs duties, and other governmental charges associated with your Orders, including but not limited to sales tax, value-added tax (VAT), and import duties.
2. 2. Prices displayed on the Website may not include applicable taxes, which will be added at checkout where required by law.
3. 3. You are responsible for complying with all tax reporting and payment obligations in your jurisdiction.

All refunds, resends, and returns are governed by our separate Refund, Resend and Returns Policy, which is incorporated into these Terms by reference. That policy details the conditions under which refunds or replacements are issued, including for order delays, damaged products, incorrect items, and poor workmanship. Our Intellectual Property

1. 1. The Service and its original content, features, and functionality are and will remain the exclusive property of CreatiDrop and its licensors.

3. 3. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CreatiDrop.

Your Content

1. 1. By submitting, uploading, or transmitting any Content through the Service, you grant CreatiDrop a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content solely for the purpose of providing the Service to you.
2. 2. You represent and warrant that:

    a. You own or have the necessary licenses, rights, consents, and permissions to use and authorize CreatiDrop to use all Content you submit;

    b. Your Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party;

    c. Your Content does not violate any applicable law or regulation.

1. 3. We reserve the right to remove or refuse to process any Content that we, in our sole discretion, consider to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable.

POD Content Policy

1. 1. You are solely responsible for all designs, images, text, and other Content you submit for POD products.
2. 2. You represent and warrant that:

    a. You own all rights, title, and interest in and to any design you submit for POD products, or you have obtained all necessary licenses and permissions to use such design;

    b. Your design does not infringe any third-party intellectual property rights ;

    c. Your design does not contain any defamatory, obscene, offensive, discriminatory, or illegal content ;

    d. Your design does not violate any applicable laws or regulations.

1. 3. We reserve the right to refuse to print any design that we, in our sole discretion, determine to be in violation of this policy.
2. 4. You acknowledge that colors may vary between digital displays and physical printed products. We do not guarantee color accuracy in the final printed product .

Feedback

Any feedback, comments, or suggestions you may provide regarding the Service ("Feedback") shall be entirely voluntary. We will be free to use such Feedback as we see fit and without any obligation to you .

Third-Party Tools

1. 1. We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
2. 2. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement.
3. 3. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools .
4. 4. Any use by you of optional tools offered through the Service is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

2. 2. CreatiDrop has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services .

You further acknowledge and agree that CreatiDrop shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

No Warranties

1. 1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CREATIDROP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SERVICE .
2. 2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
3. 3. WE DO NOT WARRANT THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS.
4. 4. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION FOUND ON THE SERVICE. The material on the Service is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on the Service is at your own risk.

Product Disclaimers

1. 1. Products offered through the Service are sourced from third-party Partners. We do not manufacture the products and make no warranties regarding product quality, fitness for a particular purpose, or compliance with any regulations.
2. 2. We have made every effort to display as accurately as possible the colors and images of our products that appear on the Service. We cannot guarantee that your computer monitor's display of any color will be accurate.
3. 3. Product descriptions, images, and specifications are provided by Partners and may contain errors or inaccuracies.
4. 4. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information at any time without prior notice.

Availability Disclaimer

1. 1. Products or services may be mispriced, described inaccurately, or unavailable on the Service.
2. 2. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction.

4. 4. Any offer for any product or service made on the Service is void where prohibited.

General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CREATIDROP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. 1. YOUR USE OR INABILITY TO USE THE SERVICE;
2. 2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
3. 3. ANY CONTENT OBTAINED FROM THE SERVICE;
4. 4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
5. 5. ANY OTHER MATTER RELATING TO THE SERVICE.

Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

1. 1. THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. 2. ONE HUNDRED DOLLARS ($100.00 USD).

Essential Purpose

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Exclusions

Nothing in these Terms shall exclude or limit our liability for:

1. 1. Death or personal injury caused by our negligence;
2. 2. Fraud or fraudulent misrepresentation;
3. 3. Any liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless CreatiDrop and its directors, officers, employees, agents, affiliates, suppliers, and Partners from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

1. 1. Your use of and access to the Service;
2. 2. Your violation of any term of these Terms;
3. 3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
4. 4. Any claim that your Content caused damage to a third party;
5. 5. Your violation of any applicable law or regulation.

This defense and indemnification obligation will survive these Terms and your use of the Service .

Data Processing

1. 1. As a dropshipping service provider, we process data on your behalf, including End Customer information provided by you for order fulfillment.
2. 2. You acknowledge that you are the data controller with respect to your End Customers' Personal Information, and we act as a data processor.
3. 3. You are responsible for obtaining all necessary consents from your End Customers for the collection, use, and transfer of their Personal Information to us for fulfillment purposes.
4. 4. We will process Personal Information in accordance with our Privacy Policy and applicable data protection laws.

Termination by Us

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms .

Termination by You

You may terminate your Account at any time by contacting our customer support team or through your Account settings.

Effect of Termination

Upon termination:

1. 1. Your right to use the Service will immediately cease;
2. 2. We may delete or deactivate your Account and all related information and files in your Account;
3. 3. We will have no obligation to maintain or forward any information to you or any third party;
4. 4. Sections that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Dispute Resolution

1. 1. Informal Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith informal negotiations. You agree to contact us at legal@creatidrop.com to attempt to resolve any dispute before initiating any formal proceedings.
2. 2. Binding Arbitration: If the dispute cannot be resolved through informal negotiations within thirty (30) days, the dispute shall be resolved through binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its commercial arbitration rules. The arbitration shall take place in Hangzhou, China, and the language of the arbitration shall be English.
3. 3. Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

Time Limitation

You agree that any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action arose, or such claim is permanently barred.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials . The affected party shall use reasonable efforts to mitigate the effects of any such event and shall resume performance as soon as reasonably possible.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and CreatiDrop regarding the Service, and supersede all prior agreements, understandings, representations, and warranties, whether written or oral, regarding the subject matter hereof.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and CreatiDrop's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or sublicense any of our rights or obligations under these Terms without restriction.

Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and CreatiDrop. You are an independent contractor and have no authority to bind CreatiDrop in any manner .
